Terms of Use for Website and Demo

Last updated: 07.10.2026

This is a translation. The German version is legally binding.

1. Scope

1.1 These terms govern the use of the website onino.io and the self-service demo at demo.onino.io (together the "Services") of ONINO GmbH, Alter Schlachthof 33, 76131 Karlsruhe, Germany ("ONINO", "we").

1.2 Our Services are intended exclusively for businesses (entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB)), i.e. persons acting in the course of their trade, business or profession. By registering for the demo, you confirm that you are acting as, or on behalf of, a business.

1.3 Our clients' use of our software is governed solely by the separate agreements concluded with them. Users' own deviating terms do not apply.

2. No investment advice, no offer

2.1 The content of the website provides information about our software and general topics. It is not investment, legal or tax advice.

2.2 We do not offer or broker financial instruments, investment products or crypto-assets through the website or the demo. All investment products, investors, amounts and transactions in the demo are fictitious.

3. Demo

3.1 Account: For the full demo, you create a free account with a business email address. The details you provide must be accurate. Keep your password secret, and notify us without delay if you suspect misuse.

3.2 Purpose: The demo is solely for testing our software. You may not use it for real issuances, for approaching real investors, or for any other productive purpose.

3.3 Scope: You can set up your branding and create up to two demo assets. We may change the features and scope of the demo or discontinue it at any time. We do not guarantee any particular availability.

3.4 Sharing: You can share your demo via a link with people in your company or with business partners. You are responsible for who you share the link with.

3.5 Termination: You can have your account deleted at any time by emailing team@onino.io. We may terminate your account with two weeks' notice. For good cause, in particular a breach of section 4, we may suspend or terminate your account immediately.

4. Your content and obligations

4.1 You may only upload or enter content (e.g. logos, texts, files) for which you hold the necessary rights and which does not violate applicable law. Personal data of third parties and confidential information do not belong in the demo.

4.2 You grant us a simple (non-exclusive), royalty-free right to store, display and technically process your content. This right applies only to the extent needed to operate the demo, and it ends when your account is deleted.

4.3 In particular, you may not:

  • disrupt the Services or circumvent their security measures,

  • introduce malware,

  • retrieve content automatically on a large scale (scraping) or carry out load tests,

  • reverse engineer the software, except where permitted by law.

4.4 If your content infringes the rights of third parties, you indemnify us against resulting third-party claims, including reasonable legal defence costs. This does not apply if you are not responsible for the infringement.

5. Reporting illegal content

5.1 You can report illegal content in the demo to team@onino.io. Please include:

  • why the content is illegal,

  • exactly where it is located (e.g. link),

  • your name and email address,

  • a statement that your information is accurate and complete to the best of your knowledge.

5.2 We review reports promptly and carefully, without automated decision-making systems. We inform the person who reported the content of the outcome.

5.3 If we block or remove content or an account, we tell the affected user the reasons. You can contest our decision by emailing team@onino.io. Your right to go to court is not affected.

6. Intellectual property

The content of the website and the demo software are protected by copyright and belong to ONINO or its licensors. You may only use them as permitted by these terms. You may not use the "ONINO" trademark without our prior consent.

7. Liability

7.1 We provide the website and the demo free of charge. We are therefore liable only for intent and gross negligence.

7.2 This does not affect our liability:

  • for damage resulting from injury to life, body or health,

  • under the German Product Liability Act,

  • for fraudulent concealment of a defect,

  • under a guarantee we have given.

7.3 We check the content of the website carefully but do not guarantee that it is complete or up to date. The operators of linked websites are responsible for their content.

8. Changes to these terms

We may change these terms with effect for the future, for example when we add features or the law changes. We inform registered users by email at least two weeks before the changes take effect. If you do not agree with the changes, you can have your account deleted. If you continue to use the demo after the changes take effect, the amended terms apply. We point out this consequence in our notice.

9. Final provisions

9.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

9.2 If the user is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction is Karlsruhe, Germany. We may also sue at the user's general place of jurisdiction.

9.3 These terms are available in German and English. The German version is binding.
